1. Acceptance

These Terms of Use ("Terms") form an agreement between you and Duptus Private Limited regarding your use of Duptus AI and related services.

If you do not agree with these Terms, you should not use the services.

2. Eligibility

You may use Duptus AI only if you are legally capable of entering into an agreement and are permitted to use the service under applicable law.

If you use Duptus AI on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

Certain features require an account. You are responsible for providing accurate registration information and keeping your account credentials confidential.

You are responsible for activity conducted through your account unless caused by circumstances for which you are not reasonably responsible.

You should notify us promptly if you believe your account has been compromised.

4. The Service

Duptus AI provides AI-powered tools that may include conversational AI, research, writing, coding, document intelligence, image understanding, AI agents, workflows, business tools, project management and related capabilities.

Features, models, limits and availability may vary by subscription plan, technical conditions, geographic availability and other applicable factors.

5. AI Outputs

Duptus AI generates responses using artificial intelligence and machine-learning systems.

AI-generated content may be incomplete, inaccurate, outdated, biased, misleading or unsuitable for a particular purpose.

You are responsible for reviewing AI-generated information before relying on it, publishing it, sending it to others, using it in software, making business decisions or using it for legal, financial, medical, employment, safety or other consequential purposes.

Duptus AI does not replace qualified professional advice.

6. User Content

You may provide prompts, documents, images, code, business information and other material to Duptus AI.

You remain responsible for your User Content and represent that you have the necessary rights, permissions and authority to submit it and allow the service to process it.

You must not submit material that violates applicable law, third-party rights or these Terms.

7. Acceptable Use

You must not use Duptus AI to:

• Violate applicable law or regulations.
• Infringe intellectual-property or privacy rights.
• Attempt unauthorized access to systems or accounts.
• Distribute malware or malicious code.
• Abuse, overload or interfere with the service.
• Attempt to bypass security, rate limits or access controls.
• Conduct fraud, impersonation or deceptive activity.
• Use the service for unlawful surveillance.
• Generate or distribute content for unlawful purposes.
• Reverse engineer protected components except where legally permitted.
• Resell access without authorization.

8. Intellectual Property

Duptus AI, including its software, interfaces, branding, design, documentation, trademarks, databases and other proprietary components, is owned by or licensed to Duptus Private Limited and is protected by applicable law.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease or create derivative works from proprietary portions of the service.

Your rights in User Content remain subject to the rights and permissions described in our Privacy Policy and these Terms.

9. Third-Party Services

Duptus AI may integrate with or depend on third-party services, infrastructure providers, AI model providers, payment processors, storage providers or other technology partners.

Third-party services may have their own terms, privacy policies, limitations and availability requirements.

10. Availability

We aim to provide reliable services but do not guarantee uninterrupted or error-free availability.

Service availability may be affected by maintenance, infrastructure failures, security incidents, provider outages, network problems, model availability, force majeure events or other circumstances.

11. Paid Services

Certain features may require a paid subscription. Subscription prices, included features and applicable limits are presented on the relevant pricing or checkout pages.

You authorize applicable payment providers to process charges associated with your selected plan.

Taxes, transaction charges or other applicable amounts may apply depending on the transaction and applicable law.

12. Suspension & Termination

We may suspend or terminate access where reasonably necessary to protect the service, users or third parties, enforce these Terms, address security concerns, prevent abuse or comply with law.

You may stop using the service at any time. Certain contractual, payment, confidentiality, intellectual-property and liability provisions may continue after termination where applicable.

13. Disclaimers

To the maximum extent permitted by applicable law, Duptus AI is provided on an "as available" basis and without warranties beyond those that cannot lawfully be excluded.

We do not guarantee that AI-generated information will be accurate, complete, current, unique, suitable for a particular purpose or free from errors.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Duptus Private Limited will not be responsible for indirect, incidental, special, consequential or punitive losses arising from use of the service where such limitation is legally permitted.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Duptus Private Limited and its applicable personnel from claims, losses or expenses arising from your unlawful use of the service, violation of these Terms, infringement of third-party rights or User Content for which you are responsible.

16. Governing Law

These Terms shall be governed by applicable laws of India, subject to any mandatory rights or protections that apply to you under applicable law.

Subject to applicable law, courts and competent authorities having jurisdiction in Indore, Madhya Pradesh, India shall have jurisdiction over disputes arising from or relating to these Terms.

17. Changes

We may modify these Terms when reasonably necessary due to changes in the service, technology, business practices or applicable legal requirements.

Continued use of Duptus AI after updated Terms become effective may constitute acceptance to the extent permitted by applicable law.
